End User License Agreement
This End User License Agreement (“Agreement”) is a binding agreement between P.D. Morrison Enterprises, Inc. (“Company,” “we,” “us”) and the authorized individual user (“you”) of the FlowURP application and related services (collectively, “FlowURP”). By accessing or using FlowURP, you agree to be bound by this Agreement. If you do not agree, do not access or use FlowURP.
1. Scope and Acceptance
FlowURP is an internal business software made available by the Company to its authorized users for the authorized users’ own internal business operations. Use of FlowURP is permitted only by users the Company has authorized and only for those internal purposes.
2. License Grant
Subject to your continued compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use FlowURP solely for the Company’s authorized internal business purposes.
3. Restrictions
You may not, and may not permit any third party to:
- copy, modify, distribute, sell, lease, or sublicense FlowURP or any part of it;
- reverse engineer, decompile, or disassemble FlowURP, or attempt to derive its source code;
- access FlowURP to build or assist a competing product or service;
- remove or alter any proprietary notices;
- use FlowURP in violation of any applicable law or third-party rights; or
- divulge anything that is restricted by the Texas Uniform Trade Secrets Act — Texas Civil Practice and Remedies Code Chapter 134A (Sec. 134A.001, added by Acts 2013, 83rd Leg., R.S., Ch. 10 (S.B. 953), Sec. 1, eff. September 1, 2013).
4. Intellectual Property
FlowURP, in every aspect, is the exclusive intellectual property of the Morrison Family Trust (Trustee: Paul-David Morrison). All rights, title, and interest in and to FlowURP, including all intellectual property rights, remain with the Morrison Family Trust (Trustee: Paul-David Morrison). No rights are granted except as expressly set out in this Agreement.
5. Confidentiality
FlowURP and the business and operational data it contains are confidential. You must protect them, use them only for authorized purposes, and not disclose them to any unauthorized party.
6. Third-Party Services
FlowURP integrates with third-party services, including Intuit QuickBooks Online and shipping carriers (UPS, FedEx, USPS, and DHL). Your use of those services through FlowURP is also subject to those providers’ own terms and policies. Neither the Company nor the Morrison Family Trust is responsible for third-party services.
7. Disclaimer of Warranties
FlowURP is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
8. Limitation of Liability
To the fullest extent permitted by law, the Company and the Morrison Family Trust will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data arising out of or related to your use of FlowURP.
9. Termination
The Company or the Morrison Family Trust may suspend or revoke your access to FlowURP at any time, with or without cause. Upon termination, your license ends and you must stop using FlowURP. Sections 4, 5, 7, 8, and 10 survive termination.
10. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
11. Changes to this Agreement
The Company may update this Agreement from time to time. Continued use of FlowURP after an update constitutes acceptance of the revised Agreement.
